Have you got the latest CXMB?
One was released today, 3.2 and this theme will only work with that CXMB version. If you downloaded the other one you'll need to change to the newest CXMB.

How to install the homebrew?

Is it the CXMB 3.2?
Copy the files over your your memory card. Then go to the recovery menu on your PSP and go to plugins and enable the CXMB. Should work then And themes go in /PSP/THEME
